Rs. 82 billion OGRA Scam or a bust bubble

Campaign against SECP can dent investors’ confidence

There has been recent outburst in the newspapers in the matter of trading of shares of SNGPL and SSGCL in reference to OGRA Scandal where SECP and its officials including former Chairman have been alleged to be involved. A trail of all the correspondence, reports prepared and investigations revealed that all of the stories were misleading and without any grounds. Over last few months a calculated campaign has been orchestrated to malign the senior management and belittle the role of SECP as corporate and securities market watch dog. The falseand baseless reports were published without verification and taking the version of SECP or senior officials who were being defamed. Such reports and news items and disparaging remarks against senior SECP officers have adverse impact on market and can seriously dent the investor confidence.

Surprisingly the role of SECP and its senior officials in the matter of SNGPL and SSGCL have deliberately portrayed in negative light in the press and have been subjected to an unnecessarymedia trial. The fact of the matter is that the SECP had been monitoring the trading in shares of SNGPL and SSGCL as far back as 2009. The preliminary assessment report in 2009 found nothing unusual in the trading pattern. In the subsequent assessment reports of 2010 and 2011 there were no concrete findings and were inconclusive. Having said that the relevant officerrequested for further probe in the matter, which after thorough review was not ceded to on account of insufficient cause/reason for further probe.

However, in view of press reports alleging illegal changes in UFG by OGRA resulting in loss of 42 billion to national exchequer and billions of profits to some brokers and in light of the pending probe in matter of OGRA by National Accountability Bureau, the SECP in exercise of powers under the Securities and Exchange Commission of Pakistan Act 1997 and the Securitiesand Exchange Ordinance 1969 vide order dated January 18, 2013 initiated an investigation into trading of shares of SNGPL and SSGCL during the period from July 1, 2010 till December 31, 201. Upon completion of the investigation a detailed report was submitted by the investigation officers on May 29, 2013.

As per investigation report, in the case of SSGCL, during the year 2010 and 2011 a total of 228.945 million shares were traded at KSE for a total value of Rs. 5,354.607 million. The scrip touched its highest level of Rs. 30.70 on September 30, 2010 and lowest level of Rs. 13.04 on January 18, 2010. In case of SNGPL, during the said period a total of 155.936 million shares were traded at KSE for a total value of Rs. 4,443.403 million. The scrip price touched its highest level of Rs. 36.60 on March 29, 2010 and lowest level of Rs. 15.25 on December 16, 2011.

The Enquiry Officers after thoroughly reviewing the transactions and trading data including telephone recordings and after meeting and having recorded statements of many individualsand entities which were accused to be involved, found no instance of market manipulation during the Review Period. No instance of pumping and dumping, creation of artificial market, false or misleading appearance of active trading, artificial inducement or depression of price, or any act which constitutes a criminal offence under section 17 of the Securities and Exchange Ordinance 1969 has been reported by Enquiry Officers.

After analyses of the relevant record including the research reports and information relating to OGRA determined that buying by NBP and NIT-SEF was due to change in the company’s fundamentals which created a demand supply disequilibrium resulting price escalation and drawing interest from sellers. The announcement of cash and bonus dividend by SSGCL and SNGPL were also the factors that attracted investor and escalated the prices. The Enquiry officers have said that the news of UFG calculations was already in public domain as it is proved from the research reports of the various brokerage houses and therefore, there was a general expectancy of appreciation in the price of the shares which drew interest from the buyers.

No adverse findings were reported against National Bank of Pakistan or NIT-SEF. A minor instance of insider trading against a brokerage house while the Enquiry officers have alsorecommended to further looking into four individuals for front running of funds of SSGC. The SECP has also carried out a review of the Investigation report that too has not resulted in any meaningful exercise and no other findings other than the report itself were made. The Review has actually endorsed the findings of the Enquiry Officers who prepared this report. The copy the Report and the Review report has been shared with the NAB and Policy Board members in addition to submission of the same to Sindh High Court in compliance to its order. The copy of the Report, Review Report and other documents are available with this scribe.

The figures given in the press reports are exaggerated and mostly without any basis, as per the SECP report the entire value of shares traded during the period under review i.e. one year amounts to Rs. 9798 million i.e. Rs. 9.7 billion. The value of shares traded during the 90 day period around the UFG rate change is obviously much less than that. Further in presence of such low volumes in the market, there is hardly any chance of manipulation.

Allegations of conflict of interest have been leveled against the present SECP management especially one of the Commissioners in the media, however, interestingly at the time of the occurrence of this scam, the concerned official was not even in the service of SECP. This fact has also been clarified by the SECP to NAB, along with other information while assisting NAB in Tauqeer Saddiq case. The objective behind the whole affair is not known to anyone but rivalry between the two business groups has severally impacted the integrity and credibility of the SECP as an institution and as a regulator.

SECP’s move to update rules and regulations for NGOs lauded

PEW proposes NGOs Regulatory Authority
SECP’s move to update rules and regulations for NGOs lauded
Humanitarian support tied to transparency, accountability of non-profits

June 11

The Pakistan Economy Watch (PEW) on Tuesday proposed establishing a powerful NGOs Regulatory Authority to monitor and streamline the activities, funding and expenses by non-profits.
At present no one is fully aware of what is happening in the development sector paving way to suspicions at home and abroad.

Lack of proper reporting and scrutiny procedure by governmental has been raising concerns about overlapping of activities, wastage of efforts, misuse of resources, and improper aid distribution, said Dr Murtaza Mughal, President PEW.

The government should rationalize the process of registration of NGOs as it has no record of the exact number of civic groups while different NGOs are getting registered at different federal and provincial departments, he said.

Dr Murtaza Mughal said that the process of registration should be entrusted to a single federal department because different departments registering civil society groups do not share data.

He further said that there must be a dependable web portal where all the local and international donors and non-profits can upload all the particulars of the projects, grants, activities, and expanses for public information and scrutiny.

After the floods of 2010; NDMA took a pioneering initiative of introducing Single Reporting Format (SRF Pakistan) but after archiving the results of hundreds of humanitarian activities and training thousands of NGOs & iNGOs staff members; this reporting system, developed by iMMAP, was abundant early last year due to obvious reasons.

Dr Mughal said that newly-elected Government should utilize IT for reporting and spreading information to achieve uniformity and coherence in data sharing during emergencies and other non-emergency situations.

He appreciated the efforts of the SECP in developing better regulatory environment, addressing issues confronting regulation of the NGOs sector.

Calling for a major review of the situation said that Pakistan will not attract foreign donors unless it ensures proper transparency, accountability and good governance in the civil society organizations and within the government to gain credibility.

Consultation is imperative during the process to allay fears of restriction of the legitimate funding and operations of independent groups.

Petitioner seeks to halt malpractices in the financial regulator

SC moved against Commissioner Insurance SECP
Petitioner seeks to halt malpractices in the financial regulator

Islamabad: June 02
A writ petition has been filed in the Supreme Court to get Commissioner Insurance SECP Asif Arif removed from his post due to clear conflict of interest and charges of supporting powerful cartels and squeezing smaller insurance companies.

Kokab Iqbal Advocate has filed a petition in the Supreme Court (SC) praying that the former chairman SECP Muhammad Ali was relieved by the Court but his appointee and agent Commissioner Insurance Asif Arif is still there.

The petitioner pleaded that Asif Arif was appointed as Commissioner due to influence of the insurance cartel comprising three major insurance companies enjoying 70 per cent market share in the Rs 36 billion market.

An insurance company opened an insurance agency in the name of his wife and amount worth tens of millions was transferred to her account as agency commission which is clear conflict of interest.

After getting benefits, Asif Arif started victimising thirty five smaller insurance companies having 30 per cent market share. This act has brought many companies to their knees and put thousands of jobs at stake.

Moreover the Commissioner Insurance has selected some blue eyed firms to conduct audit depriving other companies.

It also questioned the decision of shifting of Insurance Division to Karachi without justification. “Rules were framed forcing insurance companies to invest in stock market making all other venues unattractive for them,” the petition added.

He submitted that former chairman carried out hundreds of recruitments including eight directors with salary around Rs 300,000 per month putting additional burden of Rs 12 crore on the SECP.

The corruption and controversial steps have badly damaged the image of SECP which has also violated fundamental human rights of millions of people for whom the SC is the last ray of hope.

Petition filed seeking to halt malpractices in the financial regulator

SC moved to remove Commissioner SECP
Petition filed seeking to halt malpractices in the financial regulator

Islamabad: June 01

The Supreme Court has been moved to remove Commissioner Insurance SECP from his post due to clear conflict of interest, supporting powerful cartels and squeezing smaller insurance companies.

Kokab Iqbal Advocate who is also President of Human Rights and Welfare Trust, has filed a writ petition under Article 184 (3) of the Constitution in the Apex Court praying that the former chairman SECP Muhammad Ali was relieved by the Supreme Court (SC) but his appointee and agent Commissioner Insurance Asif Arif is still serving the institution.

The petitioner who is also a human rights activist, pleaded that Asif Arif was appointed as Commissioner due to influence of the insurance cartel comprising Eastern Federal Union (EFU), Adamjee Insurance, and Jubilee Insurance having 70 per cent market share in the Rs 36 billion market.

After appointment, he was bribed by EFU by opening an insurance agency in the name of his wife and amount worth tens of millions was transferred to her as agency commission making regulator an indirect agent of EFU and insurance cartel which is clear conflict of interest.

After getting benefits, Asif Arif started victimising and harassing thirty five smaller insurance companies having 30 per cent market share. This act has brought many companies to their knees and put thousands of jobs at stake.
Moreover, the petitioner said, the Commissioner Insurance has selected some blue eyed firms to conduct audit depriving other companies.

It also questioned transfer of Insurance Division of the SECP to Karachi without justification whereas the rest of the divisions have been discharging duties from Islamabad. “Rules were framed forcing insurance companies to invest in stock market making all other venues unattractive for them,” the petition added.

The petitioner further submitted that former chairman carried out hundreds of recruitments including eight directors with salary around Rs 300,000 per month putting additional burden of Rs 12 crore on the SECP.
The corruption and controversial steps have badly damaged the image of SECP which has also violated fundamental human rights of millions of people for whom the SC is the last ray of hope.

The petitioner asked the SC to take notice of corruption and save the people from exploitation and issue directions in this matter of national interest.

Operation clean up in SECP on cards

Operation clean up in SECP on cards

Islamabad: Dated April 30th

Acting Commissioner Security and Exchange Commission of Pakistan (SECP) has decided to launch an operation cleanup in the financial regulator.

The decision has been taken after the institution faced questions regarding its reputation due to highly controversial steps taken by the former chairman SECP who was recently relieved by the Supreme Court, sources said.

The former chairman appointed dozens of officials to please certain lobbies, the sources said adding that eight directors against three hundred thousand salary per month.

Similarly, many consultants were hired which increased salary bill of SECP by ten million per month.

According to a statement posted on the website of Pakistan Media Group, the former chairman took unjustified actions against companies which were considered against his former boss Aqil Karim Deedhi.

In collusion with a major insurance company, the former chairman not only shifted Insurance Division to Karachi but appointed their nominee as Insurance Commissioner.

The decision not only resulted increased expenditure but harassment of thirty five small insurance companies to grab their business. Some of the small companies are considering to close businesses, insiders informed.

An official of the Insurance Division has opened an agency in an insurance company in the name of his wife to get commission worth tens of millions.

Why a specific division is working in Karachi when rest of the divisions in the financial regulator can discharge duties from Islamabad, sources questioned.

Pakistan’s corporate sector will never progress and masses deprived of their lifetime earnings in artificial market crash will never get justice unless SECP is cleared of corrupt elements.

Former Chairman SECP defamed the regulator, pushed it to the brink

Former Chairman SECP defamed the regulator, pushed it to the brink
Supreme Court asked to investigate wrongdoing, undo objectionable decisions
Investment climate to remain gloomy if regulator remained controversial

Islamabad April 23

Farida Rashid, President Islamabad Women Chamber of Commerce and Industry (IWCCI) on Tuesday said that former Chairman of SECP defamed the regulator and pushed it to the brink.

Hundreds of people were enrolled against hefty salaries disregarding rules while broker mafia was not only promoted but investigation in the stock market crash in which masses lost billions were hushed up.

Over the years, the financial regulator continued to play on the tune of influential brokers who managed to established banks with the help of stolen funds, she said in a statement.

Farida Rashid said that the close aides of former chairman are still active in the SECP that include an official involved in Rs 82 billion Ogra scam, a commissioner who worked in two insurance companies but made it to the office illegally and a dismissed official.

She said that dismissal of the former chairman is not sufficient unless his wrongdoings are probed and steps undone.

Insiders say that former chairman is now advising powerful broker mafia so that one of his trusted people can become acting chairman who will ignore wrongdoings and protect the mafia, she said.

Such an appointment will ensure that the true report of the stock market crash never see light of the day, she added.

She said that the stock mafia is so much influential that it has barred finance ministry from issuing notification of appointment of a senior commissioner as acting chairman despite approval by the Prime Minister.

Farida Rashid said that Supreme Court while dismissing former chairman observed that SECP should have a chairman as soon as possible and that the method of appointments of commissioners from the private sector be made transparent.

However, both the directives are not acceptable to a Karachi based mafia, she said.

It may be mentioned that the mafia within SECP has been harassing business community and extorting benefits from the fragile insurance sector.

Restoring credibility and integrity of the financial regulator remains a challenge otherwise investment climate in Pakistan will remain gloomy, she warned.
